Acceptance of Terms
By accessing or using our services, you agree to these Terms of Service and our Privacy Policy.

Modifications to Terms
We may modify these Terms at any time. Your continued use of our services after any modifications indicates your acceptance of the new terms.

Definitions
In these Terms, "we," "us," and "our" refer to PALS (Parenting Advice Leadership Services). "You" and "your" refer to the individual using our services.

 

Services
We provide various services aimed at supporting the community, young parents, homeless population and other nonprofit organizations. You are responsible for your use of these services and any content you submit.

Disclaimers of Warranty
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND AT YOUR SOLE RISK. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TITLE, AND NON-INFRINGEMENT.

 

WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE RESULTING FROM THE DOWNLOAD OF ANY CONTENT. NO ADVICE OR INFORMATION OBTAINED THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY PROVIDED FOR IN THIS AGREEMENT.

 

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; THEREFORE, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IF YOU USE THE SERVICES OUTSIDE THE UNITED STATES, YOU ARE SOLELY RESPONSIBLE FOR COMPLIANCE WITH ALL APPLICABLE LAWS, INCLUDING EXPORT AND IMPORT REGULATIONS.

Indemnity; Limitation of Liability


Indemnity: You agree to defend, indemnify, and hold harmless PALS Nonprofit, its officers, employees, and agents from any claims arising from your use of our services, your violation of this agreement, or your negligence.

Limitation of Liability: UNDER NO CIRCUMSTANCES SHALL PALS NONPROFIT BE LIABLE FOR ANY DIRECT OR INDIRECT LOSSES OR DAMAGES ARISING OUT OF YOUR USE OF OUR SERVICES. IF YOU ARE DISSATISFIED WITH OUR SERVICES OR THIS AGREEMENT, YOUR SOLE REMEDY IS TO DISCONTINUE USING OUR SERVICES. OUR TOTAL MAXIMUM LIABILITY SHALL BE LIMITED TO ONE HUNDRED DOLLARS ($100.00).

California Residents: IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE THE PROVISIONS OF SECTION 1542 OF THE CALIFORNIA CIVIL CODE, WHICH STATES THAT A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS NOT KNOWN TO EXIST AT THE TIME OF EXECUTING THE RELEASE.

 

Dispute Resolution and Governing Law

Governing Law: This Agreement will be governed by the laws of the State of New York, and applicable laws in D.C., Maryland, and Virginia.

 

Dispute Resolution: Any disputes arising from your use of our services will first be attempted to resolve through informal negotiations. If unresolved, disputes will be settled by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association.

​

Waiver of Rights: You agree to give up any rights to have disputes determined by a court or jury. All claims must be arbitrated individually, not as a class.

 

Miscellaneous

Term: This Agreement is effective upon your acceptance and continues until terminated by either party.

 

Independent Contractors: You and PALS are independent contractors.

 

Electronic Consent: You agree to conduct business electronically and not contest the validity of electronic records.

​

Equitable Relief: Breach of this Agreement may result in irreparable harm, and PALS Nonprofit has the right to seek equitable relief.

 

Privacy: We collect and use your data per our Privacy Policy.

 

Entire Agreement: This Agreement constitutes the entire agreement between you and PALS.

 

Waiver; Severability: Failure to enforce any provision does not waive our right to enforce it in the future.

​

Assignment: You may not assign your rights under this Agreement without our written consent.

 

Survival: Provisions intended to survive termination will do so.

​
